Services may be provided in person, remotely, through written reports, training materials, electronic communications, virtual meetings, educational resources, or other mutually agreed formats.

Kitchen and Restaurant Solutions reserve the right to modify, discontinue, expand, or update services at any time.

  1. INITIAL CONSULTATIONS AND CONSULTING ENGAGEMENTS

An initial inquiry, discovery conversation, introductory consultation, or exploratory discussion does not create a consulting engagement, advisory relationship, partnership, joint venture, or employment relationship.

A consulting engagement begins when Kitchen and Restaurant Solutions agrees to provide professional services beyond the initial exploratory discussion, including but not limited to:

  • Operational assessments
  • Kitchen audits
  • Menu analysis
  • Staff training
  • On-site consulting
  • Written reports
  • Advisory services
  • Project-based consulting
  • Retainer services
  • Restaurant startup support
  • Other contracted professional services

The commencement of professional services constitutes acceptance of a consulting engagement under these Terms.

  1. DISCLAIMER

At Your Service Kitchen and Restaurant Solutions | Chef Jeffrey O’Neil provides restaurant consulting, culinary advisory services, operational guidance, training, educational materials, and business recommendations based upon professional experience and industry knowledge.

Information provided through the website, consultations, assessments, reports, audits, training materials, presentations, educational resources, and related services is intended for informational and educational purposes.

Nothing contained within our services shall be construed as legal, accounting, tax, insurance, employment, medical, investment, or regulatory advice.

  1. NO GUARANTEE OF RESULTS

If you do not receive this clear, actionable value, your initial consultation fee will be refunded. This aplies to only the Initial Consultation. No other guarantees are made. 

Every restaurant, hospitality business, market, management team, workforce, and operating environment is unique.

While Kitchen and Restaurant Solutions strives to provide valuable recommendations and practical solutions, we make no guarantees regarding:

  • Profitability
  • Revenue increases
  • Food cost reductions
  • Labor savings
  • Waste reduction
  • Operational improvements
  • Staffing outcomes
  • Customer retention
  • Restaurant openings
  • Regulatory approvals
  • Business success

Examples, case studies, testimonials, projections, estimates, and past client experiences are provided for illustrative purposes only and do not guarantee future results.

Success depends upon numerous factors beyond our control, including implementation, market conditions, management decisions, staffing, customer behavior, competition, regulatory requirements, and economic conditions.

  1. CLIENT RESPONSIBILITIES

Clients remain responsible for all decisions regarding the operation of their business.

Clients agree to:

  • Provide accurate and complete information
  • Cooperate in good faith during engagements
  • Review recommendations independently
  • Maintain compliance with applicable laws and regulations
  • Exercise independent business judgment
  • Implement recommendations at their own discretion

Kitchen and Restaurant Solutions shall not be responsible for decisions made by clients based upon incomplete, inaccurate, outdated, misleading, or omitted information.

  1. FOOD SAFETY AND REGULATORY RESPONSIBILITY

Clients remain solely responsible for compliance with all applicable:

  • Food safety regulations
  • Health department requirements
  • OSHA requirements
  • Labor laws
  • Employment regulations
  • Licensing requirements
  • Permitting requirements
  • Building and fire code requirements
  • Alcohol service regulations
  • Local, state, and federal laws

Kitchen and Restaurant Solutions provides recommendations and guidance but does not serve as a regulatory authority, health inspector, attorney, accountant, insurer, employer, or government agency.

Responsibility for compliance remains exclusively with the client.

  1. FEES, PAYMENTS, AND REFUNDS

Fees for services shall be communicated through proposals, invoices, agreements, service descriptions, or other written communications.

Payment may be required in advance, upon completion, through milestone payments, or pursuant to a separate consulting agreement.

Due to the nature of professional consulting services, fees paid for services that have commenced are generally non-refundable.

Once a consulting engagement, operational assessment, audit, advisory service, training program, project, report, onsite visit, or other professional service has begun, no refund is guaranteed.

At the sole discretion of Chef Jeffrey O’Neil, partial refunds may be issued for contracted services that have been paid for but not yet performed.

  1. INTELLECTUAL PROPERTY

All proprietary materials created or provided by At Your Service Kitchen and Restaurant Solutions | Chef Jeffrey O’Neil remain the intellectual property of Kitchen and Restaurant Solutions unless otherwise agreed in writing.

This includes, but is not limited to:

  • Consulting methodologies
  • Frameworks
  • Assessment tools
  • Templates
  • Training materials
  • Written reports
  • Educational resources
  • Operational systems
  • Presentations
  • Proprietary processes
  • Website content

No transfer of intellectual property ownership is granted through the purchase of services.

At Your Service Kitchen and Restaurant Solutions | Chef Jeffrey O’Neil retains ownership of all pre-existing intellectual property, methodologies, materials, systems, concepts, recipes, educational content, training programs, frameworks, and other proprietary materials developed prior to, during, or after a consulting engagement, except where ownership is expressly transferred through a separate written agreement.

  1. OWNERSHIP OF CLIENT INFORMATION

Clients retain ownership of their business information, records, menus, recipes, financial information, operational records, and proprietary business materials provided during an engagement.

Kitchen and Restaurant Solutions acquires no ownership interest in client business information solely by virtue of reviewing, analyzing, or utilizing such information during the course of consulting services.

  1. LICENSE TO USE CONSULTING MATERIALS

Clients receive a limited, non-transferable license to utilize consulting deliverables, recommendations, materials, and resources solely for the business for which the consulting services were originally provided.

Any use of consulting materials, deliverables, recommendations, systems, training materials, or proprietary resources beyond the scope of the original consulting engagement is not authorized without prior written approval from Kitchen and Restaurant Solutions | Chef Jeffrey O’Neil and may be subject to additional fees, licensing requirements, or other legal remedies.

Materials may not be sold, distributed, republished, licensed, reproduced, modified for commercial use, or provided to unrelated third parties without prior written permission.

  1. TESTIMONIALS AND MEDIA PERMISSIONS

Testimonials, reviews, endorsements, photographs, video recordings, and related media may be used by Kitchen and Restaurant Solutions only with permission.

Permission may be granted in writing, electronically, verbally during a consultation, or through a separate agreement.

Clients may withdraw future permission at any time; however, previously published materials used with valid permission may not be subject to retroactive removal.

  1. CONFIDENTIALITY

Kitchen and Restaurant Solutions recognizes that consulting engagements frequently involve confidential operational, financial, strategic, and proprietary business information.

Both parties agree to use reasonable efforts to protect confidential information disclosed during consulting engagements.

Confidentiality obligations do not apply to information that:

  • Is publicly available
  • Becomes publicly available through no fault of the receiving party
  • Is independently obtained
  • Must be disclosed by law
  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, At Your Service Kitchen and Restaurant Solutions | Chef Jeffrey O’Neil shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages.

This limitation includes, but is not limited to:

  • Lost profits
  • Lost business opportunities
  • Business interruption
  • Loss of data
  • Reputational harm
  • Operational disruptions

Maximum liability shall not exceed the amount actually paid by the client for the specific services giving rise to the claim.

  1. INDEMNIFICATION

Clients agree to defend, indemnify, and hold harmless At Your Service Kitchen and Restaurant Solutions | Chef Jeffrey O’Neil from claims, liabilities, damages, costs, and expenses arising from:

  • Client implementation decisions
  • Client business operations
  • Regulatory violations
  • Employment practices
  • Food safety violations
  • Misuse of recommendations
  • Breach of these Terms
  1. FORCE MAJEURE

Neither party shall be liable for delays, interruptions, or failures to perform resulting from circumstances beyond reasonable control.

Such circumstances may include:

  • Natural disasters
  • Severe weather
  • Floods
  • Fires
  • Pandemics
  • Public health emergencies
  • Government actions
  • Utility failures
  • Internet outages
  • Labor disruptions
  • Transportation interruptions
  • Illness or emergency affecting key personnel

Performance obligations shall be suspended for the duration of such circumstances.

  1. DISPUTE RESOLUTION

The parties agree to first attempt to resolve disputes through good-faith discussion and negotiation.

If resolution cannot be achieved, disputes shall be submitted to binding arbitration in the State of Arizona.

If arbitration fails to fully resolve the dispute, the parties agree that any remaining legal proceedings shall be brought exclusively within the courts of the State of Arizona.

Each party shall bear its own costs unless otherwise determined by the arbitrator or court.

  1. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States without regard to conflict of law principles.

  1. MODIFICATIONS

At Your Service Kitchen and Restaurant Solutions | Chef Jeffrey O’Neil reserves the right to update, modify, or revise these Terms at any time.

Changes become effective upon posting to the website unless otherwise stated.

Continued use of the website or services following publication of updated Terms constitutes acceptance of those changes.
